EMPLOYEE CONFIDENTIALITY AGREEMENT(영문-고용비밀계약서)
This Agreement made and entered into this __________ day of __________, 2000, by and between SAM Co., Ltd, a Korean corporation having its principal office at _______________ Young-gu, Seoul 10-25, the Republic of Korea(hereinafter referred to as SAM), and ,a(an) _____________ citizen, having Family I.D. Card No. _______________ issued at _______________ on date(hereinafter referred to as Employee)
WITNESSETH: _______________________________
WHEREAS, Employee employed by SAM ; and
WHEREAS, SAM is a company which desires to manufacture and/or distribute in components for electric and electronic products(Products) using the trade secret, know how, proprietary information or technical Information (Trade Secret) owned or controlled by SAM ; and
WHEREAS, Employee desires to be one of SAM's employees to be engaged in the manufacture of the Products and to have access to SAM's Trade Secret ; and
WHEREAS, Any unauthorized disclosure or breach of confidence by Employee of any of SAM's Trade Secret during or after his employment would cause serious, incalculable damage and loss to SAM.
NOW, THEREFORE, SAM and Employee agree as follows :
1. Employee acknowledges that the proprietorship of the Trade Secret shall belong to and remain vested in SAM, and shall use its best efforts to perform the obligations herein in good faith.
2. Accordingly, Employee shall keep strictly secret and confidential all Trade Secret acquired from SAM, directly or indirectly, during the continuance of this Agreement and thereafter except and only to the extent that disclosure is permitted by express provisions of this Agreement or a writing signed by SAM. Employee further agrees never to take any materials containing SAM's Trade Secret off of SAM's premises without the specific written approval of SAM.
3. Subject to the directions or instructions of SAM, Employee shall not disclose any of Trade Secret by any means to any person, firm, or company other than SAM's other employees engaged in the manufacture of the Products to whom it shall be essential to disclose such information for the purpose of, and only to the extent necessary for, manufacturing and distributing the Products.
4. During the term of this Agreement and for two years thereafter, and in a resigning, Employee shall not manufacture or sell any product competitive with the Products nor shall Employee work for another person, company, or firm engaged in manufacturing any products competitive with the Products.
5. Upon termination of employment, Employee shall return any and all of the Trade Secret, and any and all documents and copies thereof reflecting the same which are in his possession or under his control.
6. Employee's duties under this Agreement shall survive any termination of Employee's employment with SAM.
