RETAINER AGREEMENT
This Retainer Agreement (the Agreement) is made as of (Date)th day of(Month) (Year) by and between ABC Corp., with its head office at Korea (the Company) and __________[Name of Lawyer], an attorney in ________ [Place where the Lawyer is], with its head office at _________[Address of Lawyer] (the Attorney).
1. Appointment & Acceptance
Company appoints Attorney as Company's true and lawful attorney for and on behalf of Company to represent Company in any courts and authorities in _________ [the Place where the legal service is performed by Lawyer] for the claim against __________[Name of Defendant] (the Dependent) by reason of Dependent's______ [Acts to be blamed] concerning the _________{Related Transaction} (the Case) and Attorney accepts such appointment and agrees to render, to its best knowledge, experience and ability, the services required by this Agreement and protect the interest of Company to the utmost.
2. Authorization
Company authorizes Attorney to represent Company before the courts, any upper courts of the first instance courts, tribunals, the execution office and/or any other concerned factual or judicial authorities as follows:
- to defend the Company in their own name or in the name of the Company and to take any proceeding or action they deem fit;
- to file any claims, defenses or counterclaims and participate in legal proceedings;
- to sign, serve and receive legal documents, e.g., statement of claim, etc.;
- to conduct, adjust, take any action, appeal and submit any motion, defense, application or appeal;
- to execute and do such documents, instruments, acts and things that may be necessaryor expedient for giving effect to all or any of the matters aforesaid;
- to execute any judgment that may be given in favour of Company and to receive all monies adjudged to it;
- to apply for conservative measures or enforcing judgment; and
- any other powers which are necessary for proceeding the Case.
3. Companys Obligations
Company shall render all necessary help to Attorney including providing information, documents, and all other help so required by Attorney which are necessary for the Case.
4. Attorneys Obligations
Attorney shall:
- report to Company the development of the Case bi-weekly or, if and when significant event happens or Attorney deems Company to have knowledge about some event of points, from |
