WAREHOUSING AGREEMENT
This Agreement made and entered into this day of --------,200--, by and between ABC Company, Ltd.,a Korean corporation with its principal office at ------------(주소), (hereinafter referred to as ABC) and XYZ Corp.(상대방의 상호).A---------(상대방의 국적) corporation with its principal office at -------------(상대방의 주소) (hereinafter referred to as Company).
WITNESSETH:
WHEREAS, Company is in the business of warehousing, storing and transporting goods
; and
WHEREAS, ABC desires Company to perform warehousing services, including delivery to -----------------(지정한 장소) in connection with ABC's---------(제품기제) (Goods), which will be stored at Companys ---------------(특정 warehouse) at ------------(주소기재) (the Warehouse) ;
WHEREAS Company desires to perform such services for ABC.
NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, ABC and Company agree as follows:
1. OBLIGATION OE COMPANY
1.1 Company shall timely and fully perform the following warehousing services with respect to the Goods at the Warehouse to the complete satisfaction of ABC.
1.1.1 Warehousing
Company shall, during the term of this Agreement, reserve a minimum warehouse space of ____ Square Feet for the storage of Goods (the Premises) and both parties may review to adjust space required as situation changes.
1.1.2 Loading and unloading, moving in and moving out Goods
1.1.3 Shipping Goods to Buyer or other sites designated by ABC
Company will not ship Goods from Warehouse to Buyer without prior written
instruction from ABC. The delivery of Goods from Warehouse to Buyer shall
take place in the manner of THRU EDI SYSTEM attached as Schedule A
hereto.
1.1.4 Palletizing and wrapping the Goods, as required by ABC
1.1.5 Storing the Goods in Warehouse in a good, safe, orderly and efficient manner. Professional guards shall be deployed at the Warehouse day and night to safeguard the Warehouse against untoward mishap and the Warehouse area shall be secured by sophisticated central monitoring alarm system. Company shall take all necessary security precautions to protect the Goods against loss by theft, vandalism or other damage.
1.1.6 Inventory Control
Warehouse management with computerized inventory control system and round-the-clock security protection, the computer-generated inventory report detailing all transactions taking place at the specific period will be provided to keep |
