DISTRIBUTORSHIP AGREEMENT
This Agreement, made and entered into this th day of , 2001 by and between (회사명),a corporation duly organized and existing under the laws of the Republic of Korea, having its principal office at [지명자의 주소] (hereinafter referred to as COMPANY) and [판매점의 상호명칭],a corporation duly organized and existing under the laws of [Distributors Governing Law], having its principal office at [Distributors Address], (hereinafter referred to as Distributor).

WHEREAS, the Manufacturer is a company with extensive experience in the manufacture and sale of _____ and other ______ products and is willing to grant to the Distributor the right and license to distribute and sell the products (as hereinafter defined) in the Territory (as hereinafter defined): and WHEREAS, the Distributor is a company engaged in the business of __ and desires to obtain the right and license from the Manufacturer to distribute and sell the products in the Territory.
NOW THEREFORE, in consideration of the mutual promises, obligations and agreements contained herein, the parties hereby agree as follow :
Article 1. Definitions
In this Agreement except where the context otherwise requires, the following terms and expressions shall be understood to have the precise meaning as follows :
1.1 Contract Products or Products shall mean the products as exhibited in Appendix A hereto, which bear Trademark and are supplied by Company. COMPANY may modify the design and/or type of the Contract Products or parts thereof or discontinue any Contract Products, in its sole discretion.
1.2 Contract Year shall mean a one-year period beginning from the date in the preamble hereof or its anniversary(ies).
1.3 Territory shall mean (), as the parties may from time to time vary upon mutual agreement. Without the prior written consent of COMPANY, the Distributor, its subsidiary or affiliate shall not, directly and indirectly, sell the Contract Products to any other areas than Territory, nor shall the Distributor sell the Contract Products to any person or entity which may resell them outside the Territory.
1.4 Trademark shall mean the trademark as defined in Article 11.11)
