Cross License Agreement
각자가 독자적으로 가지고 있는 공업소유권, 노하우, 기술정보등을 당사자간에 상호 공개 및 실시 허여함으로서, 처음부터 다시 시작하는 경우의 투자나 비용없이, 상대방이 소유하는 공업소유권등을 호혜적으로 이용하고자 할 경우에 사용되는 계약서 형태임.기술개발 및 생산부문에서의 제휴가 크게 중가하고 있음에 비추어 볼때, 이러한 Cross License계약의 용도 및 빈도는 크게 증가하리라고 예상됨. 본 사례는 당사자 상호간의 입장을 공평하게 반영하고 있으므로 큰 수정 없이도 참조용 Sample로서 사용가능함.

RECITALS
Whereas, ABC is engaged in the research, development, manufacture, assembly, adaptation, modification and marketing of certain

Whereas, ABC is the owner of certain patents, Patent applications, Knowhow and other technical information in ( )and other countries ;
Whereas, ABC intends to achieve technological advances and to develop new and more advanced technologies and techniques in the filed of( ) products ;
Whereas, XYZ is also engaged in the development, manufacture, assembly and sale of ()and materials thereof in ();
Whereas, XYZ is the owner of certain patents, patent applications, knowhow and other technical information in () and other countries, and XYZ intends to achieve technological advances and to develop new and more advanced technologies and techniques in the filed of( ) products ;
Whereas, recognizing the need to have the technology already proved and utilized by the other party, both the parties wish to have their respective technologies crossed each other in order to benefit directly there from without first developing their own technologies from the beginning and thus be able to dedicate their efforts to their growth and expansion ; and
