BASIC PURCHASE AGREEMENT
This Agreement, made as of day of , 1992.
BETWEEN :
(1) ABC Co., Ltd
a Japanese corporation, acting through its Construction Machinery Division, having its principal place of business at World Trade Center Building, 00, 000 2chomp, Minatoku, Tokyo, Japan( hereinafter referred to as ABC ).
(2) XYZ Co., Ltd
a Korean corporation, having its principal place of business at 000Dong Gunposi, Kyounggido, The Republic of Korea(hereinafter referred to as XYZ ).
RECITALS :
(1) ABC and XYZ have entered into the TECHNICAL ASSISTANCE AND LICENSE AGREEMENT as of th day of 1991 (hereinafter referred to as License Agreement),wherein it is stipulated, among others, that ABC will supply XYZ with the components and parts necessary for the manufacture of the Licensed Products, as defined therein, by XYZ, subject to the basic purchase agreement to be made between ABC and XYZ.
(2) ABC and XYZ now desire to establish such basic purchase agreement for the supply and purchase of the said components and parts for the manufacture of the Licensed Products.
IT IS HEREBY AGREED AS FOLLOWS :
Article 1. Definitions
1.1 The following terms used in this Agreement, to all intents and purposes of this Agreement, have the meaning as specified below respectively except where the context requires otherwise :
(1) Parts for Manufacture means the components, parts and accessories for the assembly and/or manufacture of the Licensed Products, as defined hereinbelow, which are as listed in attachment A hereto, supplied and/or to be supplied by ABC under each purchase Order, as defined hereinbelow, issued and accepted under this Agreement.
(2) Parts for Service means the components, parts and accessories supplied and/or to be supplied by ABC for the repair and/or maintenance of the Licensed Products.
(3) Purchase Order means the purchase order Placed by XYZ with ABC for the purchase |
