BASIC PURCHASE AGREEMENT
This Agreement, made as of day of , 1992.
BETWEEN :
(1) ABC Co., Ltd
a Japanese corporation, acting through its Construction Machinery Division, having its principal place of business at World Trade Center Building, 4-1, Hamamatsu-cho 2chomp, Minato-ku, Tokyo, Japan( hereinafter referred to as ABC ).
(2) XYZ Co., Ltd
a Korean corporation, having its principal place of business at CangJung-Dong Gunposi, Kyounggi-do, The Republic of Korea(hereinafter referred to as XYZ ).
RECITALS :
(1) ABC and XYZ have entered into the TECHNICAL ASSISTANCE AND LICENSE AGREEMENT as of th day of 1991 (hereinafter referred to as License Agreement),wherein it is stipulated, among others, that ABC will supply XYZ with the components and parts necessary for the manufacture of the Licensed Products, as defined therein, by XYZ, subject to the basic purchase agreement to be made between ABC and XYZ.
(2) ABC and XYZ now desire to establish such basic purchase agreement for the supply and purchase of the said components and parts for the manufacture of the Licensed Products.
IT IS HEREBY AGREED AS FOLLOWS :
